WeRoll Vendor Agreement

This Vendor Agreement explains the responsibilities, expectations, and rules for businesses using WeRoll to publicly broadcast live locations, connect with nearby customers, and participate in the WeRoll platform. By creating a vendor profile, claiming a business, or using Go Live features, you agree to this Vendor Agreement, the Terms of Service, and the Privacy Policy.

1. Vendor Eligibility

By participating as a vendor, you represent that:

  • You are at least 18 years old.
  • You are authorized to represent the business.
  • You are legally authorized to operate the business.
  • You maintain all required permits, licenses, inspections, certifications, insurance, tax registrations, and approvals.
  • The information you provide is accurate.
  • You comply with applicable law.

We may request verification, but we are not obligated to verify, and we do not guarantee the compliance or safety of any vendor.

2. Independent Vendor Status

Nothing in this Agreement creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between you and BusterSense, Inc. You operate as an independent business.

3. Vendor Profiles and Public Information

By submitting profile content, you grant BusterSense, Inc. a license to display and distribute it as needed to operate the platform. Your content must be accurate, lawful, and not misleading. We may remove content that violates this Agreement or our policies.

4. Go Live and Location Visibility

When you Go Live, WeRoll may display your profile, availability, approximate public location, service area, and schedule to nearby users.

Go Live is not intended for tracking, surveillance, stalking, law enforcement, emergency response, or continuous monitoring. Location visibility is temporary and session-based. Sessions expire automatically after 4 hours and earlier if GPS is inactive for 15 minutes.

You control public visibility through location precision modes — Exact, Approximate, or Hidden. We do not guarantee location accuracy.

5. Vendor Responsibilities

  • Operate lawfully.
  • Maintain all required permits, licenses, inspections, certifications, insurance, and approvals.
  • Comply with food safety, public health, parking, zoning, vending, event, mobile business, tax, consumer protection, advertising, employment, and safety requirements.
  • Operate only where you are legally allowed to operate.
  • Avoid restricted, unsafe, private, residential, dangerous, or non-permitted areas.
  • Provide accurate information.
  • Honor the prices you communicate.
  • Treat people respectfully.
  • Respond to inquiries.
  • Keep your account secure.
  • Stop Go Live if you are not legally allowed to operate.

6. Permits, Licenses, and Compliance

WeRoll is not a permitting, licensing, inspection, health, insurance, legal, tax, or compliance authority. Any badges or indicators are informational only. You are solely responsible for your compliance.

7. Prohibited Vendor Conduct

The following behaviors are not permitted:

  • Impersonating a business you do not own or operate.
  • Misrepresenting your location or where you will be.
  • Harassment, threats, slurs, or targeted intimidation.
  • Offering goods or services prohibited by law.
  • Broadcasting from restricted, dangerous, or non-permitted areas.
  • Spam broadcasting, fake activity, or abuse of notifications.
  • Deceptive promotions, bait-and-switch offers, undisclosed fees, or false claims.
  • Using platform visibility to monitor, stalk, or follow individuals.

8. Customer Interactions and Transactions

WeRoll is not a party to transactions between you and your customers. You are solely responsible for your products, payment, refunds, food safety, service quality, and any injuries. WeRoll does not process vendor-customer payments unless a separate feature provides for it. Subscription fees to WeRoll are separate.

9. Safety and Public Environment

Choose safe, lawful, public locations. WeRoll is not an emergency service. In an emergency, contact your local emergency services.

10. Subscriptions, Billing, and Refunds

The following billing terms and refund policy apply:

  • You authorize recurring charges.
  • Subscriptions are billed in advance.
  • Subscriptions renew automatically.
  • You may cancel at any time.
  • Cancellation does not automatically refund the current billing period.
  • Refunds are handled under our Refund Policy.
  • Failed payments may result in downgrade or suspension.
  • You are responsible for applicable taxes.
  • Pricing may change with notice.

11. Enforcement and Suspension

Depending on severity, we may take one or more of the following actions:

  • Warnings or written notice.
  • Temporary suspension of broadcasting capability.
  • Removal of an active live session.
  • Vendor removal, taking the profile offline pending review.
  • Permanent ban, closing the account.
  • Cooperation with law enforcement in emergencies and pursuant to valid legal process.

12. Privacy and Data Use

Our Privacy Policy explains how we handle data. Live location is session-based with limited retention. We do not sell personal location history.

13. No Guarantee of Results

WeRoll does not guarantee:

  • Traffic.
  • Sales.
  • Followers.
  • Engagement.
  • Revenue.
  • Ranking.
  • Visibility.
  • Map placement.
  • Notification delivery.
  • Discovery.
  • Compliance.
  • Municipal, event, or permit approval.

14. Disclaimer of Warranties

WeRoll is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law.

15. Limitation of Liability

To the maximum extent permitted by law, BusterSense, Inc. and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, arising from or related to your use of the platform. Our total liability for any claim will not exceed the greater of the subscription fees you paid to us in the three months before the claim or $100. Some jurisdictions do not allow these limitations, in which case our liability is limited to the maximum extent permitted by applicable law.

16. Vendor Indemnification

You agree to indemnify and hold harmless BusterSense, Inc. from any claims, damages, or liabilities arising from:

  • Your use of the platform.
  • Your business operations.
  • Your products, services, and transactions.
  • Your content.
  • Your violation of this Agreement, applicable law, or the rights of others.

17. Relationship to Other Terms

This Vendor Agreement supplements the Terms of Service. Where there is a conflict on vendor-specific matters, this Vendor Agreement controls.

18. Changes to This Vendor Agreement

We may update this Vendor Agreement and may require re-acceptance before activating or continuing vendor features.
